4. Intellectual Property

Client Content

Deliverables

Upon full payment, you own all custom code, designs, and deliverables created specifically for your project, except for any pre-existing materials or third-party components, which are licensed to you for use in your project.

Our Materials

We retain ownership of our pre-existing materials, methodologies, and general knowledge. We may use general techniques, concepts, and know-how gained during your project in future work.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our engagement. This obligation survives the termination of these Terms.

6. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. However, we provide our services "as is" and make no warranties regarding the results of our services or the performance of your website or application.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

IN NO EVENT SHALL LINCHPIN INDUSTRIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES.

Either party may terminate a project agreement according to the terms specified therein. Upon termination, you must pay for all work completed up to the termination date.
